1. Acceptance of Terms
By accessing or using the Survey Readiness Monitor platform ("Service") operated by Advanced LTC Solutions, LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Survey Readiness Monitor is a compliance monitoring platform designed for skilled nursing facilities and long-term care providers. The Service provides:
- Risk score monitoring and analytics
- F-Tag library and regulation change tracking
- Survey history analysis
- Compliance reports and alerts
- Multi-facility management dashboard
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4. Subscription and Payment
Subscription Plans
The Service is offered under various subscription plans with different features and pricing. Current pricing is available on our website. We reserve the right to modify pricing with 30 days notice.
Free Trial
Paid plans include a 14-day free trial. No credit card is required during the trial period. At the end of the trial, you must subscribe to continue using paid features.
Billing
Subscriptions are billed monthly in advance. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Transmit viruses, malware, or other harmful code
- Scrape, data mine, or extract data from the Service
- Share your account credentials with third parties
- Resell or redistribute the Service without authorization
- Use the Service to compete with our business
6. Intellectual Property
The Service, including its content, features, and functionality, is owned by Advanced LTC Solutions, LLC and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any data you upload to the Service. By uploading data, you grant us a license to use that data solely to provide the Service to you.
7. Data and Privacy
Our collection and use of your information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.
For healthcare entities subject to HIPAA, please review our HIPAA Compliance page and contact us to execute a Business Associate Agreement if required.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free. Risk scores and compliance information are provided for informational purposes only and should not be considered legal or regulatory advice.
The Service does not guarantee survey outcomes. You remain solely responsible for your facility's compliance with all applicable laws and regulations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVANCED LTC SOLUTIONS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Advanced LTC Solutions, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Advanced LTC Solutions, LLC.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.
- Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our prior written consent.
